Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Geostork Technologies, Inc. (“Company,” “we,” “our,” or “us”), governing your access to and use of the Qwikmap mobile application (the “App”) and all associated services (the “Services”).

By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you may not use the App.

1. Eligibility

• You must be at least 18 years old or legally permitted to operate a motor vehicle in your jurisdiction.

• You warrant that all information you provide is truthful, accurate, and current.

• You may not use the App if you are prohibited by applicable law.

2. Description of Services

Qwikmap connects two types of users:

• Searchers: Users seeking available parking.

• Hosts: Users offering Hosted Spot coordination services, meaning they agree to vacate a parking spot and may charge a service fee for providing notice, coordination, and related services.

Types of spots include:

• Regular Spots: Crowd-sourced, publicly visible spots shared by users. Availability is informational only and not guaranteed.

• Hosted Spots: Spot information service offered by hosts. Searchers may accept these offers, paying any applicable service fee using their Cash Balance. Hosts share information such as the approximate time they are planning to vacate the spot they are hosting.

We do not:

• Sell, lease, or rent parking spaces.

• Guarantee legality, availability, or safety of any spot.

• Validate or enforce traffic or zoning rules.

Users are solely responsible for complying with all local parking and traffic laws.

3. Role of the Company

We provide a neutral technology platform. We do not:

• Verify user identities.

• Act as an agent, broker, or insurer.

• Provide parking, transportation, or storage services.

All transactions and interactions are solely between Users.

4. Account Creation and Security

• Registration is required for most features.

• You must provide accurate, updated information.

• You are responsible for safeguarding your login credentials.

• Notify us immediately of unauthorized access.

• We may suspend or terminate accounts at our discretion.

5. Balances, Rewards, and Fees

a. Cash Balance

• Users may preload funds into their account (“Cash Balance”) through Stripe or other approved payment processors.

• Cash Balance is required to host or accept Hosted Spot offers, even if the Host charges no service fee.

• Your Cash Balance must remain non-negative at all times. Transactions will be declined if insufficient funds exist.

• Cash Balance is non-refundable, non-transferable, and not withdrawable except as explicitly permitted in these Terms.

b. Rewards Balance (Rewards Coins)

• Hosts may earn non-monetary service credits (“Rewards Coins”) when Searchers accept their Hosted Spot offers.

• Rewards Coins cannot be purchased, transferred, gifted, exchanged, or refunded.

• Rewards Coins may be redeemed for cash equivalents (e.g., PayPal, Venmo) subject to:

  • Payout minimums

  • Identity and anti-fraud verification

  • Applicable tax reporting and compliance requirements

• Redemption requests may be denied, delayed, or reversed at our discretion if fraud, abuse, or violations are suspected.

c. Service Fees

• Hosts may charge a service fee for providing Hosted Spot coordination services.

• Service fees are paid from the Searcher’s Cash Balance.

• The service fee is credited to the Host in Rewards Coins, not Cash Balance.

• We may charge and retain a percentage of service fees as a platform fee.

d. Cancellation Fees

• Cancellation of Hosted Spot transactions may trigger cancellation fees, typically 15–20% of the Host’s service fee.

• Cancellation fees are deducted from one party’s Cash Balance and credited to the other party’s Cash Balance, minus any platform fee retained by us.

• Assessment of cancellation fees depends on:

  • Time of cancellation

  • Distance to the spot

  • Reason for cancellation (e.g., no-show, early departure, invalid offer)

• Cancellation fees do not affect Rewards Coins.

• We retain sole discretion in determining when and how cancellation fees apply.

e. Prohibited Use of Balances

• Users may not exchange, sell, or manipulate balances outside the App.

• Balances may not be pledged, collateralized, or treated as cash equivalents.

• Violations may result in account suspension, forfeiture of balances, and legal action.

6. Payments and Financial Responsibility

• All Cash Balance funding is processed by Stripe or other authorized processors and subject to their terms.

• We do not store payment credentials unless handled directly by Stripe with your consent.

• You are solely responsible for maintaining sufficient Cash Balance.

• We are not responsible for chargebacks, failed funding attempts, or third-party disputes.

7. Taxes and Legal Compliance

• You are responsible for reporting all tax liabilities from Rewards redemptions or service fee earnings.

• We may request tax forms (e.g., W-9) or issue IRS forms (e.g., 1099-NEC or 1099-K) when required.

• Payouts may be withheld until required information is provided.

8. Marketplace Facilitator Compliance

• In some jurisdictions, we may be required to collect and remit sales or use taxes on behalf of Hosts.

• We do not guarantee user compliance with tax obligations or provide tax advice.

9. Prohibited Activities

You may not:

• Provide false or misleading information.

• Use the App to unlawfully reserve or control public property.

• Harass, defraud, or abuse other users.

• Introduce malicious code.

• Use bots, scrapers, or automation.

• Violate any law or regulation.

Violations may result in immediate termination and forfeiture of balances.

10. User-Generated Content

• You grant us a non-exclusive, royalty-free license to use any content you submit through the App.

• We may remove or moderate content that violates these Terms or the law.

11. Disclaimers and Limitations of Liability

• The App is provided “as is” without warranties of any kind.

• We do not guarantee:

  • Spot availability or legality

  • Host timeliness or reliability

• We are not liable for indirect or consequential damages.

• Our total liability is limited to the greater of $50 or the amount you paid to us in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless Geostork Technologies, Inc. and its affiliates from claims, damages, or losses arising from:

• Your use of the App

• Violations of these Terms

• Parking disputes, incidents, or user interactions

13. Termination

• We may terminate or suspend accounts at our sole discretion.

• Upon termination, all Cash Balance and Rewards Coins may be forfeited.

• Payouts may be withheld or denied if fraud or violations are suspected.

14. Dispute Resolution

• These Terms are governed by the laws of New York State.

• Disputes will be resolved through binding arbitration in New York County under AAA rules.

• You waive jury trial rights and class action claims.

15. Data Privacy and Security

• Your use is subject to our [Privacy Policy].

• We collect: first name, phone number, optional date of birth, location data, device information, in-app messages, payment and payout credentials.

• Data is sanitized on our servers, and pricing logic is enforced server-side.

16. Intellectual Property

• All intellectual property in the App belongs to Geostork Technologies, Inc. or its licensors.

• You may not reproduce, distribute, or reverse engineer the App without our consent.

17. Modifications to Terms

• We may update these Terms at any time. Continued use constitutes acceptance of changes.

18. Miscellaneous

• These Terms are the full agreement between you and us.

• If any provision is unenforceable, the remainder remains in effect.

• You may not assign or transfer your account without our consent.

20. Parking Notifications & Spot Guarantees

• App notifications are informational only.

• We do not guarantee spot availability, host departure, or immunity from third-party claims.

21. Cancellations and Balance Adjustments

• Cash Balance deposits are non-refundable.

• Rewards Coins are non-refundable.

• Cancellation fees are enforced automatically and may be adjusted at our discretion.

• Abuse of cancellations may result in suspension, forfeiture of balances, or permanent bans.

22. User Property, Towing & Tickets

We are not responsible for:

• Vehicle damage

• Towing or ticketing

• Parking violations

Users are solely responsible for compliance with laws when using parking spots.

23. Spot Representation

• Hosts must only post Hosted Spots they lawfully intend to vacate.

• Misrepresentation of availability or charging for unperformed services is prohibited.

• Violations may result in suspension and forfeiture of balances.

24. Off-Platform Behavior

• Users may not exchange contact details to bypass the App.

• We are not liable for interactions outside the App.

25. Public Property Disclaimer

• Qwikmap does not enable the sale, reservation, or control of public property.

• Users may not block or claim public spots in advance.

• Parking remains first-come, first-served.

• The App facilitates user coordination only.
